Finzer Roller Aquires Samuel Bingham Enterprises. Acquisition Adds to Finzer’s Nationwide Presence; Creates Category Leader in Rubber Roller and Specialty Coatings Industry

CHICAGO, December 22, 2004 – Finzer Roller today announced it has acquired the assets of Samuel Bingham Enterprises, Inc., a Santa Fe Springs, California based manufacturer of industrial roll coverings. Finzer purchased Bingham's assets from Reinhold Industries, Inc., a diversified manufacturer of advanced custom composite components, sheet molding compounds and rubber rollers. As part of the purchase, Finzer gains Bingham's North American sales and manufacturing operations in Dallas, Kansas City, Pittsburgh, Rochester, New York; San Leandro, California; and Searcy, Arkansas; as well as Bingham's facility in Toronto. Terms of the sale were not disclosed.

“This acquisition is a great strategic move for us,” stated Tom Ryan, president of Finzer Roller. “We not only gain a presence in key geographic regions, but we also gain market share in several of our best product lines. This puts us near the top of the North American roller and specialty coatings industry.”

Founded in 1968 by John Finzer, Jr., Finzer Roller is today led by the second generation of the Finzer family. The company manufactures rubber rollers and specialty coatings from its headquarter facilities in Des Plaines, Illinois, with additional locations in Florida, Indiana, Maryland and North Carolina. The company services the film and foil packaging, corrugated box, wood, wood finishing, metal, graphic arts and other precision application industries.

In business for more than 175 years, Bingham has been a pioneer in the roller making industry. Finzer has attained an equally impressive reputation in its 36-year history. “When we made the decision to sell the company, we wanted to be certain our customers would experience the same standards of excellence and service to which they have become accustomed at Bingham,” stated Carl Smith, chief executive officer of Samuel Bingham Enterprises. “As a family-owned and operated business with a dedicated commitment to our industry and to customer service, we found the perfect match with Finzer Roller.”

According to John Finzer, III, a Finzer vice-president, the company will begin to immediately integrate Bingham into the Finzer brand, manufacturing and sales infrastructure. “This is an exciting time for Finzer Roller. The addition of Bingham adds to our commitment to expand our product line, geographic presence and market share in a manner that best serves our dedicated employees and customers. This is our goal, and this will be our approach as we position our company for continued growth and expansion.”
